"The offering, led by sole placement agent Dominari Securities LLC, consists of 2,992,596 Class A ordinary shares and/or pre-funded warrants, along with Class A and Class B warrants exercisable for up to 5,985,192 additional shares. The Class A warrants carry an exercise price of $24.12 - 50% above the offering price of $16.08 - while the Class B warrants are exercisable at $32.16, or a 100% premium. Both warrants are immediately exercisable upon issuance and have five-year terms."
